4. Payment, Billing, and Subscription
Paid plans are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your plan. All payments are processed securely via our third-party payment processor, Stripe. Prices are subject to change with 30 days' notice. If you upgrade or downgrade your plan, the new rate takes effect immediately, and any difference will be prorated.
You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current billing period; no refunds are provided for partial months.
5. Third-Party Integrations and Links
The Services may integrate with or link to third-party websites, applications, or services. TechNova does not endorse or assume responsibility for any third-party content, privacy practices, or availability. You access such integrations at your own risk, and you are subject to the terms and conditions of those third parties.
6. Data Privacy
Your privacy is important to us. How we collect, use, and protect your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. Limitation of Liability
To the fullest extent permitted by law, TechNova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
8. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. TechNova disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
9. Indemnification
You agree to indemnify and hold harmless TechNova, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your User Content.
10. Termination
We may terminate or suspend your account at any time, without prior notice, if you breach these Terms. Upon termination, your right to use the Services ceases immediately. Provisions relating to intellectual property, limitation of liability, and indemnification survive termination.
11. Changes to These Terms
We may modify these Terms from time to time. The "Last updated" date indicates when the latest changes were made. For material changes, we will notify you via email or a prominent notice within the platform. Your continued use after such changes constitutes acceptance of the new Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
